YOU MUST READ THESE TERMS CAREFULLY IN ENGLISH. WE WILL NOT BE RESPONSIBLE FOR ANY MEANING LOST IN TRANSLATION. THE FOLLOWING IS A LEGALLY BINDING CONTRACT BETWEEN YOU AND THE COMPANY AND GOVERNS YOUR USE OF THIS WEB SITE, ITS CONTENT, AND RELATED LINKS.

BY CONTINUING TO USE THIS WEB SITE AND/OR ITS PRODUCT SELECTION GUIDE, YOU ARE ACCEPTING AND AGREEING TO ABIDE BY ALL OF THESE TERMS. YOU ALSO AGREE TO ACCEPT AN ELECTRONIC RECORD OF THESE TERMS, AND ALL OTHER TRANSACTIONS AS FULL SATISFACTION THAT THEY BE PROVIDED TO YOU IN WRITING.

IF YOU DO NOT AGREE WITH ANY OF THESE TERMS OR FIND ANY PART OF THESE TERMS UNACCEPTABLE, SIMPLY LEAVE THIS WEB SITE WITHOUT FURTHER USE AND DO NOT ORDER PRODUCTS OR SERVICES FROM OUR WEB SITE.

The Terms must be considered as ONE WHOLE DOCUMENT with all of its Sections, however the headings of Sections or paragraphs contained herein are inserted for convenience or reference only and are not intended to be part of, or to affect the meaning or interpretation of any of the Terms.

SECTION A. DEFINITIONS

• Master-Affiliate Program (henceforth the "Program"): An Internet-based promotional and referral program, devised by Ozzie Freedom and operated by the Company. Participation in this Program is offered by MEMBERSHIP ONLY. This Program is NOT a free marketplace and is also NOT AN ONLINE SHOP because it does not engage in direct commerce - it only refers potential customers to buy directly from Independent Vendors.

• MEMBER: Any Member of the Program, which includes: (1) any Independent Vendor as defined below, AND (2) any as defined below. Membership entitles any Member to be a Vendor, Master Affiliate, or both as he may find fit. All Members are participating in the Program for the advancement, expansion and mutual protection of the industry.

• Independent Vendor: Any vendor, Original Equipment Manufacturer (OEM), inventor, service provider or consultant, accepted into the Program for the purpose of receiving referrals thereby selling their products or services DIRECTLY TO RETAIL OR WHOLESALE CUSTOMERS.

• Consumer: A person who uses or has used the Company's web site or related Product Selection Guide (see def.) to find and select products and/or services for purchase or use.

• Master-Affiliate: The word "affiliate" is a general term for anybody who represents a company or service for commissions made on sales. "Master-Affiliate" in this particular Program is any Member who uses the Program to promote Independent Vendors and their respective products/services - and earns commissions accordingly. It is defined as "Master-Affiliate" because it makes the Member an affiliate of each Independent Vendor in the Program in order to receive commissions on purchases made by customers through his own promotional efforts. CLARIFICATION: no such affiliate is an affiliate of the Company but is rather an affiliate of each Independent Vendor; they will ONLY be paid sales commissions by the Independent Vendors and will NEVER be paid directly by the Company. The Company does not sell to customers and does not collect sales commissions thereof.

• Website: A personalized web site within the Company's web site, with its complete educational materials and online catalog. Such a web site is provided to every Member in the Program. The purpose of this personal web site is to help the promote ALL products and services offered by all Independent Vendors, and enables them to receive multiple commissions from these Vendors.

• Product Selection Guide: The online shopping CATALOG of the Program. It is part of every Website, where retail and wholesale customers can shop online and choose tangible products, informational products and services. It is defined as a product selection GUIDE or CATALOG because there is no direct commerce or e-commerce occurring on said web site; rather it is a referral system to Independent Vendors' web sites.

• Member Back Office: A specialized portion of the Members-only zone of the web site. It enables customization of the Website and viewing of his personal statistics such as referrals and commissions.

• Product and Vendor Review Program: A system sponsored and run by the Program, aimed at (1) continually monitoring and reviewing each Independent Vendor's performance, (2) publishing the reviews and ratings to help the customer make an informed decision, and (3) continually improving the professionalism and public image of the industry.

8. This industry's reputation is very important to the Company and it will stand for nothing but the best representation of the technology, the industry, its business owners as well as its supporters and its customers. The business opportunity that You have to market using the Company's name and branding is a privilege, not a right. You understand that the Company, in its sole discretion, may suspend your account(s) if the Company has reason to believe that You have been involved with any of the following conduct that is related in any manner to the Program or its customers:

(8a) Faking customer ratings or reviews directly or indirectly, whether your own ratings or your competition's;

(8b) Engaging in illegal activity, including but not limited to, consumer fraud, bank fraud, credit card fraud, spamming or other illicit commercial activities;

(8f) Otherwise violating the Program rules or policies. You agree and understand that the Company's right to take any of the above actions does not constitute a right or obligation to take them for the benefit of any third parties, including You. Also, the Company preserves the right to publish any severe violation of ethical conduct, such as, but not limited to, faking your customer ratings or reviews. The Company will provide due course and length of time to see that the error is corrected; however if the error is not corrected to the Company's satisfaction in that due course and length of time, You will no longer be able to participate in this Program.

9. Following the suspension of a Member's account as outlined above, the Company will review conduct that appears to violate the Terms. This review will be conducted in a manner decided by the Company. You agree to cooperate with this review. If the review concludes that there is a reasonable basis to believe actionable misconduct has occurred, the Company may cancel your Membership without refunds of any sort. The Company may also pursue other remedies as allowed by law.

10. You understand that the Company may freely assign or otherwise transfer any or all of the rights and obligations described under the Terms without your consent and without notice to You.

11. 12. You understand that the Program and its associated web site(s) are provided as-is to You and to potential buyers without any promise for income potential, longevity, functionality, customer satisfaction, or any other promise whether explicit or implied.

13. The Company and its executives strongly believe in the general integrity of the industry. However no part of the Program may be interpreted as a direct endorsement of any specific technology, vendor, product or service, whether explicit or implied. This Program is a shopping catalog with an automated referral system - not an endorsement system or campaign.

14. MEMBERSHIP FEES AND REFUND POLICY: Membership fees are waived forever for all Founding Members – the first 55 million users to join the Program. Membership fees and refund policy for individuals and business entities joining after these Founding Member positions have been filled out, will be determined and published at a later date.

15. The Company may delete or remove Vendors, ads, services or products from the Program at any time without cause or warning to Members or customers.

16. Membership is an honorary status, providing the Member with access to unique technology in order to explore its boundaries and possibilities, and exchange his/her findings with other users and the general public. It is permissible and agreeable to generate extra income selling related products to others or to voluntarily help others benefit from such technology. However, NO PART of the technology, related written materials or information may be promoted or distributed in order to ridicule the technology or to lower its public image or usability in any way, and such behavior would result in immediate termination of membership and access, as well as possible legal action submitted against the offender.

17. The Terms are not presented to You as training on how to use your Membership; such training, including instructions on properly using your Membership, Vendor tools and Affiliate tools will be available to You once You log into your Members-only area of the web site. However, in case of any contradiction between any on-line or off-line training and the Terms, the legally binding document would be the Terms.

23. You must have your own liability insurance that covers any damage caused to customer's property or person. This must be proven to be valid in order to offer products or services on the Product Selection Guide.

24. Your web site must not advertise information or links that compete against the Company or badmouth it, or its executives, Affiliates and Vendors.

SECTION D. RULES AND GUIDELINES FOR MASTER-AFFILIATES

If You promote the products and services offered through the Program, then:

1. You agree to make no such promotions that suggest or imply any warranty or other policy that might conflict with the Program's Terms or return policy.

9. The Program is not a multi-level marketing (MLM) or "pyramid scheme". Therefore the Member will not be able to earn from signing up new Members.

10. Compensation Plan: Sales commissions will be paid BY THE INDEPENDENT VENDORS DIRECTLY TO YOU based on sales generated and successfully tracked through your Affiliate Website. It is the sole responsibility of the Independent Vendors to pay you commissions earned for your referrals to them. The Program itself, being only a referral system, contains NO DIRECT COMMERCE, therefore all transactions between customers and Vendors occur outside of the Company's facilities and web sites, making it impossible to promise 100% accurate commissions tracking; the customer for example might use another computer or web site, or bypass the entire tracking system by making a phone purchase without mentioning You as the referrer; HOWEVER, the Company will make reasonable effort to preserve precise tracking of traffic generated through the Program but shall never be held liable for any lost revenues due to improper or incomplete tracking.

11. You agree to track your own statistics for all sales and commissions. The Company will not be held responsible for your commissions payout owed to you by Vendors.

12.You agree that the Company gets a small percentage of every sale made through the your Affiliate Website.

13. If at any time your Membership is canceled or terminated for any reason, any advertising You have done may result in future commissions for the Company after the termination of your Membership, but You will no longer receive any commissions for sales coming through your Affiliate Website.
